In short: these terms are the agreement between you and Aktivate when you use our websites and services. Creators get paid for the work they do, businesses pay for what they use, and everyone plays fair. If anything here is unclear, email admin@useaktivate.com.
1. About these terms
These Terms of Use ("Terms") form a binding agreement between you and Aktivate Labs Limited ("Aktivate", "we", "us"), whose address is 1, Akintola Ajiegbe Street, Lekki, Lagos, Nigeria. They apply to useaktivate.com and all our services, including the Aktivate dashboard (app.useaktivate.com), ShopLink and creator storefronts (shop.useaktivate.com), Aktivate Reports (reports.useaktivate.com) and our free tools (together, the "Services").
By creating an account, publishing a campaign, listing products, buying from a storefront or otherwise using the Services, you agree to these Terms and to our Privacy Policy. If you use the Services for a business or agency, you confirm you are authorised to accept these Terms on its behalf. If you don't agree, please don't use the Services.
Some features may come with extra terms, such as a campaign brief, an order form or a separate agreement with your business. If those conflict with these Terms, the specific terms apply for that feature.
2. Who can use Aktivate
- You must be at least 18 years old and able to enter a legally binding contract.
- Creators joining paid campaigns generally need at least 1,000 genuine followers on a supported platform, and must pass our verification checks.
- Businesses must be lawfully operating and allowed to sell or promote the products and services they list or advertise.
- You may not use the Services if we have previously suspended you, or if the law prevents you from doing so.
3. Your account
- Give us accurate, current information and keep it up to date, including your payout details.
- Keep your login details safe. You are responsible for everything that happens in your account; tell us straight away at admin@useaktivate.com if you think someone else has accessed it.
- One person or business per account, unless we agree otherwise. Agencies may manage campaigns for their clients and invite team members.
- We may ask for documents to verify your identity, your social media accounts or your business, and may limit your account until verification is complete.
4. Collaboration Hub (campaigns)
For businesses
- You can publish a campaign brief setting out deliverables, budget, timeline and any content guidelines. Briefs must be accurate and lawful.
- Creators apply; you choose who to work with. Aktivate does not guarantee a minimum number of applications, reach, engagement, sales or other results.
- You fund the campaign budget through Aktivate. We hold creator fees and release them to selected creators according to the campaign terms once deliverables are completed and, where the brief requires it, approved.
- Review submitted content promptly and give clear, reasonable feedback. If you don't respond within the review period stated in the campaign or by Aktivate, content may be treated as approved.
- You are responsible for your claims about your own products and for any regulatory approvals your advertising needs.
For creators
- Only apply to campaigns you can deliver. Once selected, create and post the agreed content on time and keep it live for the period stated in the brief.
- Your content must be original, honest and reflect your genuine opinion, and must follow the brief and the platform's rules.
- You must clearly disclose paid partnerships and gifted products (for example using #ad, "paid partnership" labels or similar) as required by law, advertising codes and platform rules.
- You are paid your campaign fee, less Aktivate's fee, once the deliverables are completed and approved as described above.
Working together
Aktivate provides the marketplace and tools. Unless we agree otherwise in writing, the business and the creator are responsible for their own obligations to each other under the campaign brief. Creators are independent and are not employees, agents or partners of Aktivate or of the business. Please keep campaign communications and payments on Aktivate; arranging to pay or be paid outside the platform for a campaign found on Aktivate is not allowed.
5. ShopLink
For businesses
- You can list products or services for creators to sell from their storefronts. Listings, prices, stock and descriptions must be accurate, lawful and kept up to date.
- You set the creator commission for each product, as a percentage of the sale or as a fixed amount per sale.
- You are the seller. You are responsible for fulfilling orders, delivery, quality, warranties, customer service, returns and refunds, in line with consumer protection laws including the Federal Competition and Consumer Protection Act 2018.
- You may not list prohibited items, including anything illegal, counterfeit, unsafe, or that requires a licence you don't hold.
For creators
- You can add listed products to your storefront and share your link. Only promote products you would genuinely recommend, and disclose that you earn commission.
- You earn the commission shown for each completed sale made through your storefront. Commission is credited to your Aktivate wallet 7 days after the purchase, and may be reversed if the order is cancelled, refunded or found to be fraudulent.
- Don't place orders through your own link to earn commission, or use misleading tactics to drive sales.
For shoppers
- When you buy from a storefront, you are buying from the business that lists the product. Payments are processed securely by our payment provider, Paystack.
- For questions about delivery, returns or refunds, contact the business shown on your receipt. If you can't resolve an issue, email us and we will try to help.
6. Aktivate Reports
- Aktivate Reports lets businesses and agencies measure creator posts using publicly available data and information that creators submit.
- Reports run on credits. One credit tracks one creator post. Credits are sold in packs (currently 50 credits) and expire 30 days after purchase. Unused credits are not refundable and cannot be carried over, unless we agree otherwise or the law requires it.
- Public numbers come from the social platforms through third-party providers. Platforms can change or hide data, so figures may differ slightly from those inside the creator's own app.
- You are responsible for having a lawful basis to track the posts and creators you add, and for how you use and share reports with your clients.
7. Free tools
Free tools such as the engagement rate calculator use publicly available information and give estimates for general guidance only. Benchmarks are rough industry ranges, not guarantees of campaign selection or earnings. We may limit how often you can use free tools, or change or withdraw them at any time.
8. Fees, payments and payouts
- Current fees are shown on our Pricing page, and are part of these Terms. Prices are shown in US dollars and, where available, in your local currency. We may change our fees with notice; changes won't affect campaigns already published or credits already bought.
- Payments are processed by Paystack and other payment providers, whose terms also apply. You authorise us and our providers to charge the payment method you choose.
- Campaign listing fees and platform fees are non-refundable once a campaign is published, except where we cancel the campaign or the law requires a refund. If a campaign ends with unspent budget because selected creators did not deliver, we will refund or credit the unspent creator fees.
- Creator payouts are made to the bank account in your profile. Make sure your details are correct; we are not responsible for payments lost because of wrong details you provided. We may delay a payout while we investigate suspected fraud, a dispute or a chargeback.
- You are responsible for your own taxes on what you earn or pay through Aktivate. We may deduct or report taxes where the law requires.
9. Referral programme
Creators can earn a referral reward (currently ₦300) for each new creator they refer who signs up with their link and passes verification with at least 1,000 genuine followers. Rewards are not paid for self-referrals, duplicate or fake accounts, or referrals obtained by spam or misleading claims. We may change or end the programme at any time, and may cancel rewards that break these rules.
10. Content and intellectual property
- Your content stays yours. You keep ownership of the content you create or upload.
- Licence to Aktivate. You give Aktivate a non-exclusive, worldwide, royalty-free licence to host, store, display and process your content as needed to run the Services, and to show your public profile, store and campaign results on the Services. With your permission, we may also feature your content or results in our marketing.
- Licence to businesses. The rights a business gets to use a creator's campaign content (for example, reposting or using it in paid ads, and for how long) are those set out in the campaign brief. If the brief says nothing, the business may share the creator's post organically on its own channels for 12 months, but may not use it in paid advertising without the creator's written agreement.
- You must have the rights. Don't upload content you don't have the right to use, including other people's music, images or trademarks.
- Aktivate's property. The Aktivate name, logo, websites, software and designs belong to us or our licensors. You may not copy, modify or reverse-engineer them, except as the law allows.
- Infringement reports. If you believe content on Aktivate infringes your rights, email admin@useaktivate.com with details and we will review it.
11. Rules everyone must follow
You must not:
- buy followers, likes, views or comments, use engagement pods or bots, or otherwise fake your audience or results;
- provide false information, impersonate anyone, or create accounts for others without permission;
- post or promote anything illegal, hateful, harassing, sexually explicit, violent, or harmful to children;
- promote prohibited or regulated products without the required approvals, or make misleading claims;
- scrape, copy or overload the Services, try to access accounts or data that aren't yours, or interfere with security;
- use the Services for fraud, money laundering or any unlawful purpose;
- harass, threaten or abuse other users or our team.
12. Third-party platforms
The Services rely on platforms such as Instagram, TikTok and YouTube, and on providers such as Paystack. You must follow their terms and rules. We are not responsible for their services, and changes they make (for example to their data access or algorithms) may affect how our features work.
13. Suspension and closing accounts
- You can close your account at any time by emailing admin@useaktivate.com. Complete or cancel active campaigns and orders first.
- We may suspend or close an account, remove content, or withhold payouts linked to the breach if you break these Terms, if we suspect fraud or fake engagement, or if the law requires it. Where reasonable, we will tell you why and give you a chance to respond.
- When an account closes, money properly owed for completed work or sales will still be paid, unless it is linked to fraud or a breach of these Terms. Sections that by their nature should continue (such as fees owed, intellectual property, disclaimers, liability, indemnity and disputes) continue to apply.
14. Disclaimers
We work hard to keep Aktivate reliable, but the Services are provided "as is" and "as available". To the extent the law allows, we do not promise that the Services will be uninterrupted or error-free, or that any campaign, creator, product or report will achieve a particular result. Aktivate is not responsible for the products sold by businesses, for content created by users, or for what users say or do, though we will act on reports of misuse. Nothing in these Terms limits any rights you have under consumer protection laws that cannot be excluded.
15. Limitation of liability
To the extent the law allows, Aktivate will not be liable for indirect or consequential losses, or for lost profits, revenue, data or goodwill. Our total liability to you for any claim arising from the Services is limited to the greater of the fees you paid to Aktivate in the 12 months before the claim, or ₦100,000. Nothing in these Terms excludes liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot legally be excluded.
16. Indemnity
You agree to cover Aktivate's reasonable losses and costs, including legal fees, arising from claims by others that result from your content, your products, your breach of these Terms, or your breach of any law or third-party right.
17. Governing law and disputes
These Terms are governed by the laws of the Federal Republic of Nigeria. If a dispute arises, please contact us first; we will try to resolve it within 30 days. If we can't, the dispute will be referred to the courts of Lagos State, Nigeria, unless the law of your country gives you the right to bring a claim where you live.
18. Changes to these terms
We may update these Terms as our Services or the law change. We will update the date at the top, and for significant changes we will give notice by email or on the Services before they take effect. If you keep using the Services after changes take effect, you accept the updated Terms.
19. General
If any part of these Terms is found unenforceable, the rest stays in effect. If we don't enforce a right straight away, we can still enforce it later. You may not transfer your rights under these Terms without our consent; we may transfer ours as part of a reorganisation, merger or sale. These Terms, with the Privacy Policy and any feature-specific terms, are the whole agreement between you and Aktivate about the Services.
